1. Acceptance of Terms
By accessing our website, using our services, or making a donation, you agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the services.

2. Program Overview
Food Sospeso enables individuals ("Donors") and businesses ("Corporate Sponsors") to fund prepaid meals for people in need ("Recipients"). Donations are collected by Food Sospeso and used to reimburse participating restaurants ("Restaurant Partners") after eligible meals are provided to Recipients through approved distribution partners ("Food Distributors").
Food Sospeso does not directly prepare or serve food.

3. Key Definitions
  • Donation: A voluntary contribution made to Food Sospeso to support the prepaid-meal program.
  • Prepaid Meal: A meal funded by a Donation and made available to Recipients through Food Distributors and Restaurant Partners.
  • Restaurant Partner: A participating restaurant that provides meals under the program.
  • Food Distributor: An approved partner organization that identifies and supports Recipients and coordinates meal distribution.

4. Donations and Payment Processing
4.1 Who receives the payment
Donations are paid to Food Sospeso Inc. (not directly to restaurants).
4.2 Menu item display
If you select or see specific menu items, names, or prices, they are used to represent donation amounts and meal categories. Actual meals provided may vary based on availability, dietary needs, restaurant menu changes, and operational constraints.
4.3 Payment methods
We may use third-party payment processors (for example, Stripe). Your payment may be subject to the processor's terms and privacy practices.
4.4 No purchase of goods or services
Your Donation is a charitable contribution intended to support our mission, not a purchase for personal consumption.

5. How Meals Are Provided
5.1 Distribution path
Recipients receive meals through Food Distributors, who coordinate with Restaurant Partners according to Food Sospeso program rules.
5.2 Eligibility and verification
Food Distributors determine Recipient eligibility and manage distribution logistics. Food Sospeso may set baseline program criteria, but Food Distributors operate independently.
5.3 Substitution
Meals may be substituted with equal or similar value if a selected item is unavailable or inappropriate (for example, allergies or dietary restrictions).
5.4 No guarantee of timing
We aim to provide meals efficiently, but timing depends on restaurant operations, distributor schedules, and other factors.

6. Restaurant Reimbursement (Payouts)
6.1 Reimbursement model
Food Sospeso reimburses Restaurant Partners after meals are provided to Recipients and properly documented or approved under our program process.
6.2 Approval and documentation
Reimbursement may require confirmation from Food Distributors and or supporting records (for example, counts, dates, program codes, receipts, or other verification).
6.3 Timing
Reimbursement timing may vary and is not guaranteed.

7. Use of Funds and Program Flexibility
7.1 Primary use
Donations are intended to fund prepaid meals for Recipients.
7.2 Operational needs
Food Sospeso may use a portion of donations for reasonable program administration, payment processing fees, fraud prevention, technology, compliance, and operational costs, consistent with our nonprofit mission.
7.3 Reallocation
If a particular restaurant, location, or meal type cannot be fulfilled, Food Sospeso may reallocate donations to other Restaurant Partners, Food Distributors, or equivalent meal support within the program.

8. Donation Receipts and Tax Information
8.1 Receipts
We may provide donation acknowledgments or receipts electronically.
8.2 Tax deductibility
Tax deductibility depends on your personal circumstances and applicable law. Food Sospeso does not provide tax advice.
8.3 No goods or services to donor
Donations generally do not provide goods or services to the donor in return.

9. Refund Policy
9.1 Donations are generally non-refundable
Donations are typically final and non-refundable.
9.2 Exceptions
We may consider refunds in limited cases, such as duplicate charges, processing errors, or suspected fraud, at our discretion and subject to verification.
9.3 Chargebacks
If you initiate a chargeback, we may suspend your ability to use the services and may request additional information. Chargebacks can impact program funding and operations.

10. Corporate Sponsors
Corporate Sponsors may have separate written sponsorship terms. If there is a conflict between these Terms and a signed sponsorship agreement, the signed agreement controls.

11. Restaurant Partners and Food Distributors Are Independent
Restaurant Partners and Food Distributors are independent entities and not our agents, employees, or joint venturers. Food Sospeso does not control the day-to-day operations of Restaurant Partners or Food Distributors.

12. Food Safety, Allergies, and Disclaimers
12.1 Food preparation and safety
Restaurant Partners are responsible for preparing and handling food.
12.2 Allergies and dietary needs
We cannot guarantee allergen-free meals. Recipients should consult Food Distributors for dietary accommodations when possible.
12.3 No warranties
Services are provided "as is" without warranties of any kind, to the fullest extent permitted by law.

13. Limitation of Liability
To the maximum extent permitted by law, Food Sospeso is not liable for indirect, incidental, special, consequential, or punitive damages arising from the program, including but not limited to food-related issues, delays, substitutions, or actions of Restaurant Partners or Food Distributors. Our total liability in any claim is limited to the amount of the Donation at issue, unless otherwise required by law.

14. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the services, you consent to our data practices as described there.

15. Prohibited Conduct
You agree not to misuse the services, including attempting fraud, interfering with payment processing, or submitting false information. We may suspend access and cooperate with law enforcement when appropriate.

16. Intellectual Property
All site content, logos, trademarks, and program materials are owned by Food Sospeso or licensed to us and may not be used without permission.

17. Changes to the Terms
We may update these Terms from time to time. Updated Terms are effective when posted with a revised Effective Date. Continued use of the services after changes constitutes acceptance.

18. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.
